Compensation continues to be the centerpiece for corporate governance and a flashpoint for activists. Shareholders are taking a closer look at the relationship between compensation and performance. Say-on-pay votes are becoming more important and, as such, new standards are emerging in realized versus realizable pay disclosures, peer assessments and the importance of compensation risk reviews. Canadian institutional investor advisors are prompting the adoption of clawback policies by Canadian public companies as a governance best practice. Getting the design right must be supported by intelligent disclosures.
The focus of the session is on best practices respecting improving gender diversity on company boards and senior management. The session will also discuss the latest updates in practices and levels of representation of women as directors and as executives, prevalence of companies adopting written disclosure policies, company practices for increasing the proportion of women directors and executives, including what worked and where there is room for improvement of regulatory developments in regulation in Canada and internationally.
